Discovery<\/strong> continue to mount.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Just days after twelve state attorneys general filed suit to block the $110 billion merger on antitrust grounds and growing bribery accusations regarding the FCC&#8217;s review of the merger, a fourth lawsuit has now been <a href=\"https:\/\/www.hollywoodreporter.com\/business\/business-news\/david-larry-ellison-sued-paramount-investors-trump-deal-1236649554\/\">filed<\/a>, this time by Paramount&#8217;s own shareholders, alleging that Paramount&#8217;s CEO <strong>David Ellison<\/strong> and Oracle co-founder <strong>Larry Ellison<\/strong> improperly secured regulatory approval through an improper arrangement with <strong>President Donald Trump<\/strong>.<\/p>\n\n\n\n<figure class=\"wp-block-image size-full\"><img loading=\"lazy\" decoding=\"async\" width=\"828\" height=\"459\" src=\"https:\/\/theculturednerd.org\/wp-content\/uploads\/2026\/07\/IMG_8140.jpeg\" alt=\"\" class=\"wp-image-49181\" \/><figcaption class=\"wp-element-caption\">Larry (Left) &amp; David Ellison (Right).<\/figcaption><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\">Filed Tuesday in Delaware Chancery Court, the shareholder complaint accuses the Ellisons and Paramount&#8217;s Board of Directors of breaching their fiduciary duties by exposing the company to significant financial and legal risks in pursuit of the merger.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">According to the lawsuit, the Ellisons allegedly made a series of commitments designed to secure federal approval of the transaction, including promises to implement sweeping changes at <strong>CNN<\/strong>, provide up to $20 million in free advertising, and rely on Paramount&#8217;s previous $16 million settlement with President Trump over his lawsuit against <strong>CBS<\/strong> as part of a broader effort to remove regulatory obstacles.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The shareholders argue that these alleged actions may have helped the company obtain government approval in the short term but could expose Paramount to future investigations and substantial legal liability under future administrations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The lawsuit further alleges that Paramount&#8217;s editorial and programming decisions have negatively impacted CBS News, pointing to declining ratings and the departure of on-air talent following changes made after regulatory approval was secured.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">This marks the latest in a growing list of legal challenges facing the blockbuster merger. In recent days:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A coalition of&nbsp;<strong>12 state attorneys general<\/strong>, led by California Attorney General Rob Bonta, filed an antitrust lawsuit seeking to block the merger.<\/li>\n\n\n\n<li>The&nbsp;<strong>Writers Guild of America<\/strong>&nbsp;has also challenged the transaction, arguing that further consolidation would reduce jobs and competition throughout the entertainment industry.<\/li>\n\n\n\n<li><strong>Paramount+ subscribers<\/strong>&nbsp;have filed their own lawsuit opposing the merger.<\/li>\n\n\n\n<li>Now, Paramount shareholders are challenging the transaction from a corporate governance perspective, alleging breaches of fiduciary duty by the company&#8217;s leadership.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Collectively, these lawsuits illustrate that the merger is now being challenged on multiple legal fronts, not only under an antitrust lens, but also under corporate governance and fiduciary duty principles.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">So you may be wondering &#8230; what exactly is a <strong>fiduciary duty<\/strong>?<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In <strong>Corporate Law<\/strong>, directors and officers of corporations owe fiduciary duties to the corporation and its shareholders. At their core, these duties of loyalty and care require corporate leaders to act in the best interests of the company, exercise reasonable care when making decisions, and avoid placing their own personal interests ahead of those of the corporation. If shareholders believe those obligations have been breached, whether through self-dealing, bad faith, or decisions that unnecessarily expose the company to legal or financial risk, they may bring a lawsuit seeking to hold the company&#8217;s leadership accountable (Thank you Professor Mamaysky, for being the best Corporate Law Professor out there!).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That is precisely what Paramount&#8217;s shareholders allege here.
